Founding member terms

Zylokit is operated by Tuagye, Inc. ("we", "us"). These terms apply when you reserve a Founding Member spot ("the spot").

A Founding Member spot: your protected course app for iPhone, iPad and Android, with hosting for your lessons. It includes:

Up to 500 active students, 200 hours of lessons, and live classes inside the app for up to 300 students per class, with 400 live-class attendee-hours a month included (for example, eight one-hour classes of 50 students); protection on every lesson (two devices per student, no exporting, recording blocked or paused, the student's name and code on every frame); offline downloads locked to the student's device; your logo and colors; and our hands-on help moving your existing lessons and students over.

If you go over these limits we'll tell you before charging anything. Extra live attendance is $0.18 per attendee-hour and extra active students are $0.30 each per month. We never cut off a class in progress or your students.

You upload your lessons and invite your students from your dashboard. You keep selling on your current platform, and handling those payments, for as long as you like.

Features we describe as coming later, such as setting up your own payments and subscriptions to sell directly through Zylokit, are not part of what we deliver by the launch date.

You pay $120 today. It counts as your first month of service, which starts on your go-live date. After that the price is $120 a month, and it stays $120 a month for 12 months from your go-live date. After 12 months the standard price then in effect applies, and we'll tell you at least 30 days before it changes.

Prices exclude any sales tax or VAT that applies to you.

We aim to make your app available to your students on 11 January 2027 (the "launch date").

We have delivered when your students can sign in to your app on iPhone, iPad or Android, watch your lessons online and offline, join live classes, and the protection described above is active.

Delivery depends on you uploading your lessons and adding your logo and colors within 14 days of our kickoff call. If you're late, the launch date moves by the same number of days.

If we haven't delivered by the launch date (as moved by any delay on your side), you can ask for a full refund of the $120 and we'll pay it within 7 days.

Apart from that, the payment is non-refundable, including if you change your mind. Nothing in these terms limits any right you have by law that can't be waived.

Protection applies to lessons hosted in Zylokit. Copies of the same lessons left on another platform aren't covered. Zylokit makes copying much harder and makes leaks traceable. No system can prevent every method of copying, such as filming a screen with another camera.

You own your lessons. You give us permission to host and play them for your students. We handle your students' personal data only to run the service for you, and we'll sign a data processing agreement on request.

You can cancel any time. We don't refund a month that has already started.

Zylokit is a new product and we keep improving it. Features, limits and how things work may change as we add features and make improvements. We'll email you before a change that affects you.

Your founding price and the deliver-or-refund guarantee stay as written unless you agree to a change.
